Terms of Service

These Terms of Service ("Terms") govern your use of SaaSBox, a platform operated by Shadow Vortex LLC ("we", "us", "our"). By using SaaSBox you agree to these Terms. If you do not agree, do not use the service.

1. Eligibility

You must be at least 16 years old to use SaaSBox. By using the service you confirm you meet this age requirement and have the legal capacity to enter into this agreement.

2. Your Account

You are responsible for maintaining the security of your account. You must provide accurate information when creating an account and keep it up to date. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized access.

3. The Service

SaaSBox provides AI-powered web tools accessible via subscription or one-time payment. We use Anthropic's Claude AI to generate tool outputs. Outputs are generated by AI and may contain inaccuracies, biases, or errors. You are responsible for reviewing and verifying any output before relying on it.

4. AI Output Disclaimer

SaaSBox outputs are generated by artificial intelligence. They are not:

• Medical, legal, financial, or professional advice
• Guaranteed to be accurate, complete, or up-to-date
• A substitute for professional consultation

You use AI outputs at your own risk. For health, legal, financial, or other consequential decisions, consult a qualified professional.

5. Acceptable Use

You agree NOT to use SaaSBox to:

• Generate content that is illegal, harmful, harassing, defamatory, or violates others' rights
• Attempt to reverse-engineer, scrape, or copy our prompts or system architecture
• Create fake accounts, abuse free tiers, or circumvent usage limits
• Resell SaaSBox outputs as a competing service
• Use the service to violate any law or regulation
• Send malicious code or interfere with the service's operation
• Use the service to generate spam, deceptive content, or impersonation

We reserve the right to suspend or terminate accounts that violate these rules.

6. Subscription Plans and Payment

SaaSBox offers the following plans:

• Free: 3 lifetime tool runs at no cost.
• Pay-As-You-Go ($5): One-time payment for a single tool run.
• Monthly Mid ($15/month): 10 tool runs per month, billed monthly.
• Unlimited ($25/month): Unlimited tool runs, billed monthly.

Payments are processed by Stripe. Subscriptions auto-renew until cancelled. You may cancel anytime via the Billing portal; you keep access through the end of the current billing period. Prices may change with 30 days' notice to existing subscribers.

7. Refunds

See our separate Refund Policy for details. Generally: monthly subscriptions can be cancelled anytime but are non-refundable for past billing periods. Pay-As-You-Go runs are non-refundable once the tool has been executed.

8. Ownership of Outputs

You own the outputs your tool runs generate, subject to these conditions:

• You may use outputs for personal or commercial purposes
• You agree that other users may receive similar outputs for similar inputs
• You may not claim ownership of, or copyright over, our prompts, system, or infrastructure

9. Builder Program

If you submit a tool through our Builder Program:

• You retain ownership of your prompt and concept
• You grant us a license to host, distribute, and bill for your tool
• You receive 80% of net revenue, paid monthly via Stripe Connect
• Either party may terminate the relationship with 30 days' notice
• Full terms are provided in a separate Builder Agreement upon acceptance

10. Intellectual Property

SaaSBox, including its design, branding, prompts, code, and content, is owned by Shadow Vortex LLC and protected by intellectual property laws. You may not copy, modify, or distribute any part of the service without our written permission.

11. Service Availability

We strive for high uptime but do not guarantee uninterrupted service. We may modify, suspend, or discontinue the service at any time. We are not liable for downtime, data loss, or service interruptions.

12. Account Termination

We may terminate your account at any time for violation of these Terms, abuse, or any reason at our discretion. You may delete your account at any time by emailing us. Upon termination, your access ends and your data is deleted within 30 days.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAASBOX AND SHADOW VORTEX LLC ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Indemnification

You agree to indemnify and hold harmless Shadow Vortex LLC from any claims, damages, or expenses arising from your use of SaaSBox, your violation of these Terms, or your violation of any third party rights.

16. Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Orange County, Florida.

17. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the site. Continued use of SaaSBox after changes constitutes acceptance of the new Terms.
